M&A Advisory
The negotiation is the part everyone remembers; diligence is where the deal actually lives or dies. We run financial and operational due diligence for buyers, quality-of-earnings reports for sellers preparing to go to market, and valuation work for transactions, disputes, and estate purposes.
On the buy side, we’ve killed deals our clients wanted to do, because the add-back adjustments in the seller’s EBITDA didn’t survive contact with the general ledger. On the sell side, we run a QoE process six months before a company goes to market specifically so those same adjustments hold up when a buyer’s advisor — sometimes us, on a different engagement — comes looking.
Post-merger, we stay engaged through the first two closes, because integration failures are almost always finance-system failures: two companies running incompatible chart-of-accounts structures nobody reconciled before day one.
